IJA Customer Application Terms and Conditions

1. Definitions

For the purposes of these Terms and Conditions ("Terms"):

  • “Company” refers to IJA Private Limited and its affiliates, subsidiaries, and authorized representatives.
  • “Platform” refers to the IJA Customer Mobile Application (including all versions for iOS and Android), the IJA website, associated web portals, and any related systems or services provided by the Company.
  • “User” or “Customer” refers to any individual or entity accessing, downloading, registering on, or using the Platform, including for browsing, purchasing, or availing services.
  • “Products” refer to bathware, sanitaryware, faucets, showers, tiles, wellness products, and allied building materials listed and sold on the Platform.
  • “Business App” refers to the separate IJA Business Application intended for use by authorized dealers, influencers, and business partners.
  • “Order” refers to a request placed by the User for purchase of Products through the Platform.
  • “Force Majeure” means events beyond the reasonable control of the Company, including but not limited to acts of God, natural disasters, war, riots, pandemics, government restrictions, strikes, or supply chain disruptions.

2. Acceptance of Terms

By accessing, downloading, installing, registering on, browsing, or using the Platform in any manner, the User:

  • Confirms that they have read, understood, and agree to these Terms in their entirety.
  • Agrees to be legally bound by these Terms, which constitute a binding agreement between the User and the Company.
  • Accepts all referenced policies, including but not limited to the Privacy Policy, Refund Policy, Warranty Policy, Shipping Policy, and any other policies published on the Platform.

These Terms apply to all Users, including guests browsing without registration. If the User does not agree to any part of these Terms, they must immediately cease all use of the Platform and uninstall the application. Continued use constitutes unconditional acceptance of the latest version of these Terms.

The Company reserves the right to update or modify these Terms at any time without prior notice. Updated Terms will be effective upon posting on the Platform. Users are responsible for regularly reviewing these Terms. Continued use after modifications implies acceptance.

3. Platform Role & Scope

The Platform is a technology-enabled e-commerce and service facilitation system operated by the Company, primarily for:

  • Discovery, comparison, and detailed viewing of Products, including images, specifications, prices, and features.
  • Placement, payment, tracking, and management of Orders.
  • Direct fulfilment of Orders by the Company or its authorized partners.
  • Warranty registration, service requests, and post-purchase support.
  • Communication between the Company and Users regarding Orders, services, promotions, and updates.

The Platform is provided "as is" and "as available." The Company does not guarantee uninterrupted, error-free, or secure access. The Company reserves the right to:

  • Modify, add, remove, or restrict features, services, or content.
  • Suspend, restrict, or discontinue the Platform (in whole or part) temporarily or permanently without notice or liability.
  • Limit access based on location, device, or other criteria.

The Platform is intended for personal, non-commercial use by end consumers in India. Commercial resale or bulk purchasing through the Customer Platform is prohibited unless expressly authorized.

4. Account Registration & Security

To access certain features (e.g., ordering, warranty registration), Users must create an account by providing accurate, current, and complete information, including name, contact details, address, and payment information.

Users are solely responsible for:

  • Maintaining the confidentiality of their account credentials (username, password, OTPs).
  • All activities, transactions, and communications conducted under their account.
  • Immediately notifying the Company of any unauthorized access or security breach via the support channels provided.

The Company reserves the right to verify registration information and reject, suspend, or terminate accounts for incomplete, inaccurate, or suspicious details. The Company is not liable for any losses, damages, or unauthorized transactions arising from compromised credentials or failure to secure the account

Users must be at least 18 years old or have legal capacity to contract under applicable Indian laws.

5. Product Information & Availability

Product listings, including images, descriptions, specifications, dimensions, colors, and visuals, are for illustrative and informational purposes only. Actual Products may vary slightly due to manufacturing processes, batch differences, screen display variations, or photographic lighting.

Availability is real-time but subject to stock levels, logistics, and supply chain constraints. The Company does not guarantee that Products shown as available will remain in stock at the time of Order confirmation.

The Company reserves the right to:

  • Discontinue or modify Products without notice.
  • Cancel Orders if Products become unavailable, with prompt notification and full refund if payment was made.

6. Pricing, Taxes & Promotions

Prices are as displayed on the Platform and may be inclusive or exclusive of taxes, as specified. Applicable Goods and Services Tax (GST), other statutory levies, shipping charges, and handling fees will be added at checkout.

Promotions, discounts, coupons, cashbacks, or offers are subject to specific terms, validity periods, eligibility criteria, and availability. The Company reserves the right to introduce, modify, withdraw, or restrict offers at any time without notice or liability.

Pricing errors (e.g., typographical mistakes) may occur. The Company reserves the right to correct errors and cancel affected Orders, with refunds if applicable.

7. Payments

Payments must be made through authorized payment gateways integrated on the Platform (e.g., cards, UPI, net banking, wallets).

The Platform uses secure, third-party payment processors and does not store complete card or banking details. Users authorize the Company to process payments and handle refunds as per policy.

Payment success does not guarantee Order confirmation. Issues such as failures, chargebacks, reversals, or fraud detection are handled by payment providers, and the Company is not liable for delays or denials beyond its control.

8. Order Acceptance & Cancellation

Orders are offers to purchase and are confirmed only upon explicit acceptance by the Company (via confirmation email/SMS/app notification).

The Company may reject, cancel, or modify Orders (pre- or post-payment) for reasons including but not limited to:

  • Pricing or description errors.
  • Suspected fraud, misuse, or unauthorized activity.
  • Stock unavailability or logistics issues.
  • Regulatory or legal constraints.
  • Breach of Terms.

User cancellations are subject to the Refund Policy timelines. Post-dispatch cancellations may incur charges

9. Delivery & Risk Transfer

Products are delivered through authorized third-party logistics partners to addresses provided by the User.

Delivery timelines are estimated and not guaranteed. Delays due to incorrect addresses, recipient unavailability, force majeure, or external factors are not the Company's liability.

Risk of loss or damage transfers to the User upon delivery handover and signature/OTP confirmation. Users must inspect Products immediately upon receipt and report issues promptly.

10. Warranty, Installation & Service

Products carry limited warranties as specified per category (e.g., manufacturing defects only). Warranty is valid only upon proper registration through the Platform or official channels, with proof of purchase.

Warranty excludes damages from improper installation, misuse, neglect, accidents, unauthorized repairs/modifications, or normal wear and tear.

Installation must be by authorized personnel where recommended. Service requests must be lodged via the Platform or designated support channels.

11. Returns, Replacements & Refunds

Returns/replacements are governed by the separate Refund and Returns Policy, subject to:

  • Eligibility (e.g., defective, damaged, wrong item).
  • Timelines (typically within specified days of delivery).
  • Inspection by the Company.

Installed, used, customized, or hygiene-sensitive Products may be non-returnable. Approved refunds are processed to the original payment method, minus any applicable charges, within timelines specified in policy.

12. User Obligations & Prohibited Conduct

Users agree to use the Platform lawfully and ethically. Prohibited activities include but are not limited to:

  • Fraudulent transactions, fake Orders, or payment misuse.
  • Reverse engineering, hacking, or interfering with the Platform.
  • Abusing promotions, multiple accounts, or incentives.
  • Uploading harmful content, viruses, or unlawful material.
  • Unauthorized commercial resale or bulk purchasing.
  • Violating intellectual property, privacy, or third-party rights.

Violations may result in immediate account suspension/termination, Order cancellation, reporting to authorities, and legal action.

13. Intellectual Property

All content on the Platform (text, images, logos, trademarks, software, designs, data) is owned by the Company or its licensors. No rights are transferred except for limited personal, non-commercial use.

Users may not copy, reproduce, distribute, modify, or create derivatives without written permission.

14. Data & Privacy

User data is collected, used, and protected as per the separate Privacy Policy. Users consent to:

  • Data processing for Orders, services, analytics, and improvements.
  • Receiving transactional and promotional communications (SMS, email, push notifications).

Anonymized data may be used for business purposes.

15. Limitation of Liability

To the fullest extent permitted by law, the Company and its affiliates shall not be liable for:

  • Indirect, consequential, incidental, punitive, or special damages (including loss of profits, data, or business).
  • Errors, delays, interruptions, or unavailability of the Platform.
  • Third-party actions (e.g., logistics, payments).
  • User-generated issues or force majeure events.

Total liability is limited to the amount paid by the User for the specific Order in question.

16. Indemnification

Users agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, and partners from any claims, losses, damages, or expenses arising from:

  • Breach of these Terms.
  • Misuse of the Platform or account.
  • Violation of laws or third-party rights.

17. Suspension & Termination

The Company may suspend or terminate User access/accounts without notice for violations, suspected fraud, inactivity, or legal requirements. Termination does not affect accrued rights or obligations.

18. Dispute Resolution, Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of India, without regard to conflict of laws principles.

Any disputes shall first be attempted to be resolved amicably through the Company's grievance mechanism. Failing that, disputes shall be subject to exclusive jurisdiction of competent courts in [City/State, e.g., Delhi], India.

Users may contact the designated Grievance Officer for complaints (details in Privacy Policy).

19. Miscellaneous

  • Severability: If any provision is held invalid, the remainder remains enforceable.
  • Waiver: No waiver of any breach constitutes waiver of future breaches.
  • Entire Agreement: These Terms (with referenced policies) constitute the entire agreement.
  • Force Majeure: The Company is not liable for non-performance due to force majeure.

IJA BUSINESS APPLICATION TERMS AND CONDITIONS

1. Definitions

For the purposes of these Terms and Conditions ("Terms"):

  • “Company” refers to IJA Private Limited and its affiliates, subsidiaries, and authorized representatives.
  • “Platform” refers to the IJA Business Mobile Application (including all versions for iOS and Android), associated web portals, and any related systems or services provided by the Company for business users.
  • “Business User” or “User” refers to any dealer, influencer, partner, or other commercial entity accessing, registering on, or using the Platform for facilitation, referral, or coordination activities within the Company’s ecosystem.
  • “Products” refer to bathware, sanitaryware, faucets, showers, tiles, wellness products, and allied building materials listed and sold through the Company’s ecosystem.
  • “Order” refers to a purchase request originated from or facilitated via the Platform, ultimately fulfilled by the Company.
  • “Incentives” refer to commissions, margins, rewards, or other compensation structures provided to Business Users as per separate agreements or Platform guidelines.
  • “Force Majeure” means events beyond the reasonable control of the Company, including but not limited to acts of God, natural disasters, war, riots, pandemics, government restrictions, strikes, or supply chain disruptions.
  • “Confidential Information” includes non-public data, trade secrets, customer details, pricing strategies, and any proprietary information disclosed by the Company to Business Users.

2. Acceptance of Terms

By accessing, downloading, installing, registering on, browsing, or using the Platform in any manner, the Business User:

  • Confirms that they have read, understood, and agree to these Terms in their entirety.
  • Agrees to be legally bound by these Terms, which constitute a binding agreement between the Business User and the Company.
  • Accepts all referenced policies, including but not limited to the Privacy Policy, Incentive Policy, Confidentiality Agreement, and any other policies published on the Platform.

These Terms apply to all Business Users, including during onboarding or trial access. If the Business User does not agree to any part of these Terms, they must immediately cease all use of the Platform and delete the application. Continued use constitutes unconditional acceptance of the latest version of these Terms.

The Company reserves the right to update or modify these Terms at any time without prior notice. Updated Terms will be effective upon posting on the Platform. Business Users are responsible for regularly reviewing these Terms. Continued use after modifications implies acceptance.

3. Platform Purpose

The IJA Business App is a technology-enabled commercial facilitation and coordination platform designed to enable dealers, influencers, and partners ("Business Users") to participate in the Company’s ecosystem. It supports:

  • Product showcasing, referral, and discovery facilitation.
  • Lead generation, customer engagement, and order initiation.
  • Performance tracking, incentive management, and reporting.
  • Collaboration tools for communication with the Company and end customers.

The Platform is provided "as is" and "as available." The Company does not guarantee uninterrupted, error-free, or secure access. The Platform is intended exclusively for authorized commercial use within India and does not confer any rights to sell, distribute, or modify Products independently.

The Company reserves the right to:

  • Modify, add, remove, or restrict features, services, or content.
  • Suspend, restrict, or discontinue the Platform (in whole or part) temporarily or permanently without notice or liability.
  • Limit access based on location, device, business type, or performance criteria.

4. Independent Contractor Status

Business Users are independent contractors or entities and operate at arm's length from the Company. Nothing in these Terms, the use of the Platform, or any related agreements creates:

  • An agency relationship, whereby Business Users act on behalf of the Company.
  • A partnership or joint venture for any purpose.
  • An employment or contractor-for-hire relationship, with no entitlement to Company benefits.
  • A franchise, distributorship, or exclusive territorial rights.

Business Users are solely responsible for their own taxes, insurance, compliance, and business operations. They must not represent themselves as agents, employees, or affiliates of the Company without explicit written authorization. Any such misrepresentation may result in immediate termination and legal action.

5. Onboarding, KYC & Compliance

Onboarding requires submission of accurate, current, and complete information, including:

  • Valid business documents (e.g., GST registration, PAN, incorporation certificate, bank details).
  • KYC verification (e.g., Aadhaar, passport, or equivalent for principals).
  • Compliance certifications (e.g., adherence to anti-money laundering laws).

The Company may conduct background checks, audits, or third-party verifications at any time, including post-onboarding. Access to the Platform is granted at the Company’s sole discretion and may be revoked or suspended for:

  • Incomplete, inaccurate, or falsified information.
  • Non-compliance with applicable laws, regulations, or Company standards.
  • Adverse findings in audits or verifications.

Business Users must maintain ongoing compliance with all relevant Indian laws, including data protection (DPDP Act), consumer protection, and tax regulations. Failure to do so may result in penalties, withholding of Incentives, or termination.

6. Dealer Role Clarification

Dealers serve as display and experience partners in the Company’s ecosystem, facilitating customer interactions without assuming operational risks. Key clarifications:

  • Dealers do not purchase, hold, or manage inventory; all stock remains with the Company.
  • Dealers do not extend credit, finance, or assume payment risks; all transactions are direct with the Company.
  • Dealers do not handle logistics, shipping, or delivery; fulfilment is exclusively managed by the Company or its partners.
  • Dealer margins, commissions, or fees are governed by separate Dealer Agreements, subject to performance metrics and volume thresholds.

Dealers must maintain showrooms or display spaces in accordance with Company branding guidelines. They are prohibited from altering Products, creating competing lines, or engaging in unauthorized sales channels.

7. Influencer Role Clarification

Influencers act as discovery and referral facilitators, promoting Products through authentic endorsements and content creation. Key clarifications:

  • Referrals must be genuine and trackable via unique codes or links provided on the Platform.
  • Incentives are earned only upon successful Order completion (e.g., delivery and payment confirmation), net of returns or cancellations.
  • Fake, manipulated, or incentivized reviews/referrals (e.g., bot-generated traffic, paid testimonials without disclosure) are strictly prohibited and may lead to permanent bans, Incentive forfeiture, and reporting to regulatory bodies like ASCI (Advertising Standards Council of India).

Influencers must comply with disclosure requirements under applicable advertising laws and obtain prior approval for promotional content involving Company branding.

8. Order Flow & Control

Orders initiated or facilitated via the Business App follow a controlled process:

  • Business Users may generate leads or place Orders on behalf of customers, but final submission and acceptance are subject to Company approval.
  • All fulfilment (sourcing, packing, shipping) is handled exclusively by the Company or its authorized partners.
  • Pricing, discounts, and terms are determined solely by the Company; Business Users have no authority to negotiate, alter, or override them.

Business Users must ensure accurate Order details and customer consent. Any discrepancies arising from User input may result in rejection or adjustments at the Company’s discretion.

9. Incentives, Payouts & Adjustments

Incentives (e.g., commissions, bonuses) are calculated based on predefined structures and are:

  • Non-transferable, non-assignable, and payable only to verified Business User accounts.
  • Subject to withholding or deduction in cases of disputes, returns, fraud, or policy violations.
  • Paid via electronic transfer (e.g., NEFT) within specified timelines (e.g., monthly), net of taxes (TDS as applicable).

The Company reserves the right to revise Incentive structures prospectively, with notice via the Platform. Retroactive changes are not permitted except in cases of error correction or fraud detection. Business Users must maintain accurate records for tax and audit purposes.

10. Confidentiality & Data Protection

Business Users may access limited customer data (e.g., leads, contact details) strictly for facilitation purposes, as per the separate Confidentiality Agreement and Privacy Policy. Obligations include:

  • Not misusing, sharing, selling, or disclosing data to third parties without explicit Company consent.
  • Implementing reasonable security measures (e.g., encryption, access controls) to protect data.
  • Protecting Confidential Information indefinitely, even post-termination, and returning/deleting it upon request.

Data handling complies with the Digital Personal Data Protection (DPDP) Act, 2023. Breaches must be reported to the Company within 24 hours. Violations may result in damages claims, termination, and legal proceedings.

11. Platform Integrity & Audit Rights

To ensure fair use and compliance, the Company reserves the right to:

  • Monitor transactions, communications, and Platform activity in real-time or retrospectively.
  • Conduct audits of Business User accounts, records, and performance metrics, with or without notice.
  • Suspend, restrict, or terminate access for abuse, manipulation, or suspicious patterns (e.g., inflated referrals, unauthorized access).

Business Users must cooperate fully with audits, providing requested documents within specified timelines. Non-cooperation may be deemed a breach.

12. Liability & Risk Allocation

To the fullest extent permitted by law, the Company and its affiliates shall not be liable for:

  • Business losses, including lost profits, missed opportunities, or market changes.
  • Disputes between Business Users and customers, suppliers, or third parties.
  • Indirect, consequential, incidental, or punitive damages arising from Platform use.
  • Force majeure events or disruptions beyond reasonable control.

Business Users assume all risks associated with their operations, including customer interactions and promotional activities. Total Company liability is limited to the Incentives paid to the Business User in the preceding 12 months.

13. Indemnification

Business Users agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, and partners from any claims, losses, damages, or expenses arising from:

  • Breach of these Terms or referenced policies.
  • Misuse of the Platform, data, or Confidential Information.
  • Violation of laws, third-party rights, or misrepresentation of Company affiliation.

14. Termination

The Company may suspend or terminate Business User access/accounts immediately and without notice for:

  • Breach of these Terms, policies, or separate agreements.
  • Fraudulent behavior, manipulation, or unethical conduct.
  • Legal, regulatory, or risk-related requirements (e.g., sanctions, investigations).

Upon termination, all accrued obligations (e.g., unpaid Incentives) remain enforceable, and access to data or features ceases. Business Users must return Confidential Information and settle any outstanding matters.

15. Dispute Resolution, Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of India, without regard to conflict of laws principles.

Any disputes shall first be attempted to be resolved amicably through the Company's grievance mechanism (e.g., escalation to the designated Business Support Officer). Failing resolution within 30 days, disputes shall be subject to exclusive jurisdiction of competent courts in [City/State, e.g., Delhi], India.

Business Users may contact the designated Grievance Officer for complaints (details in Privacy Policy).

16. Miscellaneous

  • Severability: If any provision is held invalid or unenforceable, the remainder remains in full force.
  • Waiver: No waiver of any breach constitutes a waiver of future or ongoing breaches.
  • Entire Agreement: These Terms (with referenced policies and separate agreements) constitute the entire understanding between the parties, superseding prior agreements.
  • Force Majeure: The Company is not liable for non-performance or delays due to force majeure events.
  • Assignment: The Company may assign these Terms; Business Users may not without consent.
  • Notices: All notices must be in writing via the Platform, email, or registered post.
